In short

What is Business Account Opening (KYB)?

Business Account Opening (KYB) is a business account opening solution for community and regional banks. The banker drops a small business's whole packet, and agents write a one-page entity sketch with a source on every line, check the Secretary of State record, verify and screen every owner and signer, and ask the owner once for only what is missing. The banker submits, Deposit Operations approves, and only then is the account written to the core banking system.

The problem

Why business account opening takes weeks

Business account opening at a community bank starts with a packet: articles, the IRS EIN letter, a certificate of good standing, the operating agreement, the beneficial ownership certification and a signature card, collected in the branch, by email or from the online application and scanned into document imaging. Nobody checks the packet is complete until later. Then the banker or a deposit operations clerk looks up the Secretary of State website and compares it with the articles by eye, and a trade name or a changed registered agent stalls the file as a mismatch.

The customer fills in the beneficial ownership certification by hand, and few banks re-read the operating agreement to check the percentages add up, so a missing 25% owner is found by an auditor months later, or never. Each owner and signer is keyed into the identity and OFAC tools one at a time, each gap is another call or email to the owner, and Deposit Operations re-checks the file and rekeys it into the core. Cannabis businesses, trusts and possible list matches wait for the BSA Officer with no clock.

Business account opening, one packet from drop to open

Halvorsen Marine Supply LLC, a Maine company that sells marine hardware and chandlery to boatyards and fishing fleets in Midcoast Maine, wants a Business Operating Checking account at Tessaly Community Bank. Here is what happens next, screen by screen, in the working solution.

  1. 0111:35 AM

She drops the whole packet at once

    Nora Bellamy · Business Banker

Erik Halvorsen's packet arrives by email: six files, 23 pages. Nora drops it into one wide drop zone, and the Packet Reader splits it into the articles of organization, the IRS EIN confirmation letter, the certificate of good standing, the 14-page operating agreement, the beneficial ownership certification and the signature card in 52 seconds. The agents' run plays under the documents: the Registry agent pulls the Maine Secretary of State record, the Ownership agent reads the agreement and the Screening agent checks the entity and three people.

Each document tile shows its type, its pages and how sure the reader is: 96 to 99%.

  2. 0211:40 AM

Fourteen lines, each with its source

    Second Read agent

Beside the documents, the entity sketch writes itself: legal name, trade name, entity type, formation, good standing, EIN, registered agent, address, signers, owners. The Second Read agent re-reads every line against the packet and the state record before Nora sees it: 11 confirmed, 2 differ, 1 missing. Each source chip opens the page with the lines the agents used highlighted. The trade name Halvorsen Marine is an assumed name filed June 8, 2021, and the new registered agent was filed by a statement of change on March 2, 2023, so Nora accepts both explanations.

    Operating agreement · page 5, section 3.1: “(c) Dana Kirsch, 25%”, highlighted.

  3. 03Line 11

The agreement says 100%; the certification says 75%

    Ownership agent

Section 3.1 of the operating agreement, amended and restated January 6, 2024, lists Erik Halvorsen 40%, Ruth Okafor 35% and Dana Kirsch 25%. The certification signed October 20 names only Erik and Ruth. Dana must be identified and verified under the CDD rule, so line 11 is marked missing with the section that proves it. The entity, Erik, Ruth and signer Priscilla Moody are verified and clear on OFAC and the 314(a) list, and the Risk agent proposes Moderate, 31 points, with its factors.

“The certification accounts for 75%; Dana Kirsch holds the other 25% under §3.1.”

  4. 0411:44 AM

One request to the owners, only what is missing

    Outreach agent

Instead of three phone calls, the Outreach agent drafts one message to Erik and Dana with three items: Dana's identity details on a secure form, never by email; a photo of her driver's license or passport; and Erik's signature on the updated certification that adds her. The checks pass: it asks only for what is missing, carries no personal data, says nothing about screening and reads at about grade 7. Nora reads it, sees the phone view Dana will get, and sends it.

Asks only for what is missing: 3 of 14 lines.

  5. 05Before it can go

A line that could tip off the customer blocks the message

    Outreach agent

If anyone adds a sentence such as “We are also completing a screening review of each owner before we can proceed”, the check on screening, lists and compliance review turns red and “Approve and send” locks until the line is removed. Personal data never travels by email either.

The Outreach agent never sends without the banker and never mentions screening or compliance review.

  6. 061:58 PM

The owner answers from her phone

    Dana Kirsch · Owner

Dana opens the secure link, enters her details and photographs her Maine driver's license. Erik e-signs the updated certification at 2:01 PM. The request is marked answered and the reminders cancel themselves.

“All done, Dana; your details, your license and Erik's signature reached Tessaly Community Bank at 2:01 PM.”

  7. 072:00 PM

Every line confirmed, one next step

    Screening agent

The Screening agent checks Dana's license, screens her on OFAC and the 314(a) list, and line 11 turns confirmed, citing the agreement, the e-signed certification and the license. With every line confirmed or explained, the single next step is no longer locked, and Nora sends the file to Deposit Operations at 2:09 PM.

“Send to Deposit Operations for approval”: locked until every line is confirmed or explained.

  8. 082:41 PM

A different person checks what will be written

Theo Marchetti · Deposit Operations Specialist

Theo sees every field the Boarding agent will write to the core banking system, each with its source: legal and trade name, tax ID, Maine LLC formed April 12, 2019, the Rockland address, NAICS 423910, the Moderate rating, the three owners, the control person, the signers, the product and the $25,000 opening deposit. He approves with the reason “All lines confirmed against the sources”. Nora could not have approved it: nobody approves a file they submitted.

    “Nothing is written before approval.”

  9. 092:47 PM

Open the same day: 3 hours 12 minutes

    Boarding agent

Only now does the Boarding agent write: the customer record to the core at 2:44 PM, the Business Operating Checking account at 2:45 PM, the signature card and 8 documents to document imaging at 2:46 PM, and the CRM and the welcome notice from an approved template at 2:47 PM. Halvorsen Marine Supply is open 3 hours 12 minutes after its packet arrived.

Documents in imaging are kept five years after the account closes.

  10. 10On the record

The whole file, ready for an examiner

    Gwen Ashby · BSA Officer

Every step by people and agents is on the audit trail with who, what, when, why and the evidence: the request drafted and sent, Dana's upload, Erik's signature, the Second Read, the maker and checker decisions. Gwen builds an export pack for an FDIC examiner in one click: 47 files, Social Security numbers and dates of birth masked, restricted BSA items left out, signed with a SHA-256 checksum.

Ask in plain words

Ask about any application, line or rule

The banker can ask the agents about any line, application or procedure. Every answer cites its source and can open the screen it talks about.

Why is Dana Kirsch marked missing?

Section 3.1 of Halvorsen's operating agreement, amended and restated January 6, 2024, lists three members: Erik Halvorsen 40%, Ruth Okafor 35% and Dana Kirsch 25%. The certification Erik signed on October 20 names only Erik and Ruth. Every 25% owner must be identified and verified under 31 CFR 1010.230.

Which applications will miss the 24-hour clock today?

One is already past it: Tidal Arc Solar Installers LLC, escalated to Malcolm Reyes at 24 hours. Two more are due before 3:30 PM: Quarry Hill Woodworks LLC and Fogline Logistics Inc., both ready to submit.

Draft the request to Halvorsen's owners

Drafted: one message to Erik Halvorsen and Dana Kirsch with three items, only what is missing: Dana's identity details on a secure form, a photo of her license, and Erik's signature on the updated certification. It passes the checks: no personal data in the body, nothing about screening. It waits for you to read it and send it.

Questions

What business bankers and BSA officers ask about KYB.

How does KYB verification work for a business bank account?

The Registry agent checks the legal name, entity type, formation, good standing, assumed names and registered agent against the Secretary of State record. The Screening agent verifies each owner and signer by documentary or non-documentary means and screens them and the entity against OFAC and the 314(a) list. Every result is a line in the entity sketch with its source, and the Second Read agent re-reads each line before the banker sees it.

How does it find a beneficial owner missing from the certification?

The Ownership agent recomputes ownership from the operating agreement and sets it against the beneficial ownership certification. In the sample case the agreement's section 3.1 adds up to 100% and the certification to 75%, so the 25% owner left off the form is marked missing with the section that proves it. The agent never removes a person from the owners, and a doubt goes to the BSA Officer.

Can a customer learn about screening or a 314(a) match?

No. Potential list matches, 314(a) results and anything related to a suspicious activity report are visible only to the BSA Officer; the banker sees “Compliance review: no action needed”. Every message to an owner is checked for anything about screening, lists or compliance review, and a failing check blocks sending.

Do people stay in control of account opening?

Yes. The agents read, check and draft. The banker accepts or questions each line, reads every message before it goes and submits; a Deposit Operations specialist approves or returns with a reason code; the BSA Officer decides what the agents cannot. The Boarding agent writes nothing before a checker approves.

Can we set our own document rules, limits and clocks?

Yes. Required documents by entity type, certificate freshness, approval limits, the banker, Deposit Operations and BSA clocks, reminders, the confidence to confirm a line and the data and privacy rules are settings. The onboarding administrator proposes a change as a change request, and the BSA Officer approves it.

What does an examiner or auditor get?

A complete audit trail of every action by people and agents, with who, what, when, why and the evidence, and an export pack built for an examiner, internal audit or the BSA Officer. Social Security numbers, dates of birth and ID numbers are masked, restricted items are left out and the pack carries a checksum.

How long does it take to go live?

The Agentic Solution Engine builds and deploys it from your requirements and documents, such as your onboarding procedures, document rules and a sample of past business packets, and it goes live once every quality gate has passed. We will walk you through it on your own packets first.
