Why milestones and notice clocks slip between the contract and the trial system

An alliance book is not one contract. It is licences, collaborations, options and asset purchases, each with amendments and side letters that change the amount, the period or the notice clause. The obligation lives in the agreement; the event that triggers it — a first patient dosed, a filing accepted, a partner’s press release — happens in the trial system, the regulatory tracker or the news.

So someone has to notice the event, find the clause, check which wording is in force, test the defined terms with counsel, count Business Days on the right bank calendar, draft the notice and tell finance to accrue. When an amendment has quietly cut a 30-day notice to 10 Business Days, the deadline the team is working to is already wrong.

TLX-301 is a “Phase 3 Clinical Trial” under §1.58 — the protocol v2.0 title says pivotal, to support US and EU applications. Talmirex is the “Licensed Product”, compound QTX-208. And it is the first achievement: the payment register shows Milestone 4 not invoiced or paid.

    Amendment No. 1, signed March 14, 2025, replaced §7.2(d) and changed §7.4. The amount in force is $40,000,000, not the original $35,000,000. The notice is due within 10 Business Days, not 30 days. Counted on the New York bank calendar the agreement names, with Columbus Day not counted, the 10th Business Day is Tuesday, Oct 20.

    The trigger checker never marks a milestone achieved. Dana reads the tests and a note the agents added: the same first dose also meets the diligence target “Initiate a Phase 3 trial in a Major EU Country by Jun 30, 2027” under §5.2(b) — France counts. She can confirm, ask counsel first, or record it as not achieved, with a reason.

Is the Quillon milestone really triggered?

Yes — all six conditions are met, two of them on amended terms. Initiation means the first dose to the first subject; subject 114-001 was dosed in Lyon on Oct 5, 2026. TLX-301 is a pivotal Phase 3 study and no earlier Phase 3 first dose exists. The amount is $40,000,000, not $35M — Amendment No. 1 §2. Notice is due within 10 Business Days, not 30 days → Oct 20. You confirm; Omar signs the notice.

Why is the Quillon notice due Oct 20?

Amendment No. 1 §3 replaced “within thirty (30) days” with “within ten (10) Business Days”. Counting from the Oct 5 first dose on the New York bank calendar and skipping Columbus Day (Oct 12), the 10th Business Day is Tuesday, Oct 20. Under the original 30 days it would have been Nov 4.

What do we owe partners in the next 90 days?

Tidewell patent costs, $48K by Oct 28; Brightwater Q4 research funding, $1.2M by Oct 30; Quillon Milestone 4, $40M around Dec 3; the Solenne Q3 balancing payment, €3.42M around Dec 14; and the Vireo target fee, $500K by Dec 31. $45.4M firm, plus $165M contingent: $150M to the Pellmore sellers if PMB-101 is approved on Nov 18, and the $15M Brightwater option fee if we exercise.

How does it know a milestone has been triggered?

The signal watcher reads the trial system, the regulatory tracker, news, ERP, CRM and the calendar, and matches each event to the clauses it could trigger. The trigger checker then tests each element of the defined term against the evidence — for example “Initiation”, “Phase 3 Clinical Trial” and “Licensed Product” — and works out the amount and the notice clock in force.

Does it handle amendments and side letters?

Yes. The definitions and amendment resolver applies each amendment or side letter from its effective date, so the obligation shows the wording in force, and keeps the superseded wording visible and marked. In the working solution, Amendment No. 1 raises a milestone from $35M to $40M and cuts its notice from 30 days to 10 Business Days.

How does it count Business Days?

It counts on the calendar the agreement names. In the working solution Business Days follow the New York bank calendar, as each agreement’s definition says, so Columbus Day and Veterans Day are not counted.

Do people stay in control?

Yes. The agents propose; a person confirms every milestone achievement. Notices and consent letters are sent only with licensing counsel’s electronic signature, and accruals above $10M need the controller’s approval. Every step is recorded in the audit trail.

Can it draft milestone notices and accruals?

Once a milestone is confirmed, the notice and report writer drafts the notice from the notice clause — addressee, copies and form — and the finance link drafts the accrual in the period of achievement with the clause and evidence attached.
