What is Alliance Milestone & Obligation Tracking?

It is keeping every duty in a company's licences, collaborations, options and acquisitions — milestones, payments, notices, reports, committee meetings, diligence, consents — with its owner, its clock and the clause in force. Alliance Milestone & Obligation Tracking adds six agents that read the agreements into one alliance network and match outside events to the milestones they might trigger, for the alliance director to confirm.

The problem

Why alliance teams hear about a milestone weeks after it happens

A licence's money moves on events, not dates. Milestone 4 is “Initiation of the first Phase 3 Clinical Trial of a Licensed Product” — three defined terms, each with its own definition in §1, and an amendment that changed the amount and the notice period 21 months after signing. The event itself happens in another system: a first dose recorded by a site in Lyon, a regulator's action date, a partner's press release in Taipei. Nobody reads those against the agreement as they happen.

So the alliance team hears at the next JSC, or from the partner's invoice. By then a 10-Business-Day notice clock may have run out, the accrual may land in the wrong quarter, and an option window or a sublicence consent may slip by. The risk sits in the wording in force: the original PDF says $35M and 30 days; the amendment says $40M and 10 Business Days.

One Phase 3 first dose, from trial-system event to signed notice

Northwind Bio in-licensed Talmirex (QTX-208) from Quillon Therapeutics in June 2023. On Oct 5, 2026, subject 114-001 is dosed at site 114 in Lyon in TLX-301, the pivotal Phase 3 study. Here is what happens next, screen by screen, in the working solution.

  1. 01Oct 7

The whole alliance book as one network

    Dana Okafor · Alliance director

Dana's home screen draws Northwind Bio and its 8 active partners: 38 agreements, 612 obligations, 37 open lines. Each line is one obligation drawn from the clause in force, coloured by kind — milestones, payments, diligence and supply, notices and reports, committees, consents and rights. Three lines are marked: “$40M · flagged” on Quillon, “No consent on file” on Marrow Point and “$15M option · Nov 18” on Brightwater.

Line inspector: “Milestone 4 · Initiation of the first Phase 3 Clinical Trial · $40,000,000 · Due Oct 20 · Clause in force §7.2(d) · as amended by Amendment No. 1 §2.”

  2. 02Replay · Oct 6, 16:20

A trial-system event, read against every clause

    Signal watcher

Trial system event 88214 arrives, confirmed by the public registry: first dose in TLX-301, subject 114-001, Lyon, Oct 5. The signal watcher searches 612 obligations and matches 4 clauses in the Quillon licence — §7.2(d), §7.4, §7.6 and §5.2(b). Replaying the match shows each step light in turn: event read, clauses matched, definitions tested, amendment applied, milestone flagged.

    “Oct 6 · 16:20 · 4 min, event to tested trigger.”

  3. 03Last 14 days

Seven signals raised, the rest set aside with a reason

    Signal watcher

The Signals list shows what the watcher read: 412 trial-system events, 164 registry postings, 38 regulatory updates, 655 news items, 96 ERP, 12 CRM and 71 calendar events. Seven became signals, each with its matched clause, clock and status. Events that match a clause but trigger nothing are set aside, not alerted — Corventa's China Phase 3 completing enrolment among them.

Set aside: “No payment. §5.2(b) pays US$25,000,000 on NMPA approval, not on enrolment.”

  4. 04One click

“Has Milestone 4 been achieved?” — six conditions tested

    Trigger checker

The trigger checker breaks the milestone into its defined elements and tests each against evidence. The event is an “Initiation” — first dose to the first subject (§1.41, trial system). TLX-301 is a “Phase 3 Clinical Trial” — the protocol v2.0 title says pivotal (§1.58). The product is a “Licensed Product” — QTX-208 (§1.44). It is the first achievement — the payment register shows Milestone 4 not invoiced or paid.

“6 of 6 conditions met” — every condition carries numbered sources, one click from the passage.

  5. 05The wording in force

    $40M, not $35M — and Oct 20, not Nov 4

    Definitions & amendment resolver

Amendment No. 1, signed Mar 14, 2025, replaced §7.2(d) — $35,000,000 became $40,000,000 — and cut the §7.4 notice from 30 days to 10 Business Days. Counted on the New York bank calendar the agreement names, skipping Columbus Day on Oct 12, the 10th Business Day is Tuesday, Oct 20. Thirty days would have read Nov 4. The superseded wording stays on file, marked.

Amendment No. 1 §3: “In Section 7.4, the words ‘within thirty (30) days’ are replaced by ‘within ten (10) Business Days’.”

  6. 06Oct 7

She decides whether the milestone happened

    Dana Okafor · Alliance director

The checker also notes the diligence target in §5.2(b) — initiate a Phase 3 trial in a Major EU Country by Jun 30, 2027 — is met, because France counts. The decision is Dana's: confirm, ask counsel first, or record it as not achieved with a reason. Confirming fixes Oct 5, 2026 as the achievement date and starts the notice clock and the payment term.

“Confirming records Oct 5, 2026 as the achievement date … Nothing is sent until counsel signs.”

  7. 07Seconds later

The notice to Quillon, drafted from the clauses

    Notice & report writer

Once Dana confirms, the agents act on her decision: the notice writer drafts the notice under §7.4 as amended, addressed from §15.2 to Quillon's Chief Business Officer with a copy to General Counsel (4.1 s). It states the event, the date, Study TLX-301, US$40,000,000 and the 45-day payment term in §7.6. Every statement carries a numbered citation to its source.

“Every statement cites its source — click a number.”

  8. 08Signed

Counsel signs with the meaning of his signature

    Omar Haddad · Licensing counsel

The notice goes to Omar for electronic signature. He signs as Licensing Counsel, and the notice goes out by courier and email, as the notice clause requires, with a copy filed to the agreement. The notice then reads “Signed by Omar Haddad · sent Oct 7 · copy filed to the agreement” — thirteen days inside the clock.

“Omar Haddad signs as Licensing Counsel. Meaning: I approve this notice for sending. Name, time and meaning are recorded with the document.”

  9. 09October close

Accrued in the month it was achieved

Finance link · Sam Patel, BD finance

The finance link drafts the October accrual (1.6 s): debit R&D expense · licence milestones (Talmirex), credit accrued liabilities · alliance milestones, $40,000,000 each way, referenced to AG-014 §7.2(d) as amended, with trial-system event 88214, protocol v2.0 and the payment register as evidence. Above $10M the controller approves before Sam posts it. Owner tasks follow: pay Quillon within 45 days of its invoice, and update the JSC by Dec 15.

“Over $10M — controller approval needed.”

  10. 10Oct 7 · 08:05

A partner's press release breaches a consent clause

    Omar Haddad · Licensing counsel

News watch matches a Marrow Point press release: Jadeport Pharma receives an exclusive sublicence to register, import and commercialise Corventa in Taiwan. Taiwan is in the licensed Territory (§2.1); a sublicence needs Northwind's prior written consent (§4.3); the consent register has no Taiwan request. Whether it is a sublicence or a distributor under §4.4 is marked a judgement, for Omar to decide by Oct 9.

Suggested: “a letter asking for the sublicence terms within 10 days, reserving Northwind’s rights under §4.3 and §14.2.”

Built on the engine

6 agents. Each with one job, and hard limits.

Six agents draw every agreement as one network and match trial, registry and news events to milestones; the alliance director confirms.

Agreement reader

Reads licences, collaborations, option and purchase agreements end to end and extracts every obligation — milestones, payments, notices, reports, committee meetings, diligence duties, consents, options, exclusivity and supply — with who owes it, the event or date that starts the clock, the period, the amount and the exact clause text.

  • Cites the clause for every obligation; never paraphrases it
  • Confidence below 0.9 goes to an alliance manager
Definitions & amendment resolver

Links every capitalised term to its definition and applies amendments and side letters from their effective date, so each obligation shows the wording in force.

  • Never drops superseded text — keeps it marked
  • Flags any conflict between an amendment and a later committee decision
Signal watcher

Watches the trial system, public trial registries, the regulatory tracker, news, ERP, CRM and the calendar, and matches each event to the clauses it could trigger by product, partner, compound and event type.

  • An event that triggers nothing is set aside with its reason; nobody is alerted
  • Co-promotion: aggregate counts only — no prices
Trigger checker

Tests each element of the defined term against the evidence, works out the amount in force and the clock in Business Days on the calendar the agreement names, and explains what a person must decide.

  • Never marks a milestone achieved — a person confirms
  • Shows each test with its evidence
Notice & report writer

Drafts milestone notices, consent and information requests and annual diligence reports from the confirmed facts, using the notice clause for addressee, form and copies.

  • No send without counsel's signature
  • No admissions or interpretations beyond the confirmed decision
Finance link

Turns confirmed milestones into accrual drafts and payment schedules for ERP, and checks receipts and royalty reports against what partners owe.

  • Accruals above $10M need the controller's approval
  • Drafts in the period of achievement, with the clause and evidence attached
Alliance director

Confirms each milestone. The agents propose; a named person decides.

Ask in plain words

Ask about any partner, clause or date

Ask about any partner, clause, milestone or date — or say what to change. Every answer shows the clause behind it.

Is the Quillon milestone really triggered?

Yes — all six conditions are met, two of them on amended terms. Initiation means the first dose to the first subject; subject 114-001 was dosed in Lyon on Oct 5, 2026. TLX-301 is a pivotal Phase 3 study and no earlier Phase 3 first dose exists. The amount is $40,000,000, not $35M — Amendment No. 1 §2. Notice is due within 10 Business Days, not 30 days → Oct 20 (Columbus Day excluded).

What do we owe partners in the next 90 days?

Tidewell patent costs $48K by Oct 28, Brightwater Q4 research funding $1.2M by Oct 30, Quillon Milestone 4 $40M around Dec 3, the Solenne Q3 balancing payment €3.42M around Dec 14 and the Vireo target fee $500K by Dec 31. $45.4M firm, plus $165M contingent: $150M to the Pellmore sellers if PMB-101 is approved on Nov 18 and the $15M Brightwater option fee if we exercise.

Alert me 20 business days before every JSC meeting

Done. Committee meetings and minutes now alert 20 Business Days ahead (was 10). That moves four alerts earlier: Brightwater JRC (Nov 5), Orrin steering committee (Nov 12), and the Quillon and Solenne JSCs (Dec 15). The change is live in Settings and recorded in the audit trail.

Draft the information request to Marrow Point

Drafted from licence §4.3: it notes the Jadeport announcement, says no consent was requested, asks for the executed sublicence within 10 days and reserves Northwind's rights under §4.3 and §14.2 — no waiver, no admission. It is on the signal for Omar Haddad to sign.

Questions

What alliance teams ask us.

What is alliance milestone and obligation tracking?

It is keeping every duty in a company's licences, collaborations, options and acquisitions — milestones, payments, notices, reports, committee meetings, diligence, consents — with its owner, its clock and the clause in force. Alliance Milestone & Obligation Tracking adds six agents that read the agreements into one alliance network and match outside events to the milestones they might trigger, for the alliance director to confirm.

How does it know a milestone has been triggered?

The signal watcher reads the trial system, public trial registries, the regulatory tracker, news, ERP, CRM and the calendar, and matches each event to the clauses it could trigger. The trigger checker then tests each element of the defined term — for example “Initiation”, “Phase 3 Clinical Trial”, “Licensed Product” and first achievement — against the evidence, and shows every test with its source.

Does it apply amendments and side letters?

Yes. The definitions and amendment resolver applies each amendment from its effective date, so the amount and the notice clock shown are the ones in force. In the sample book, Amendment No. 1 raised Quillon's Milestone 4 from $35M to $40M and cut the notice from 30 days to 10 Business Days. The superseded wording stays on file, marked.

How does it count a Business-Day notice clock?

On the calendar the agreement names. In the sample licence a Business Day is a day banks are open in New York, so Columbus Day is not counted and the 10th Business Day after an Oct 5 achievement is Oct 20. The calendar is a setting.

What about events that match a clause but trigger nothing?

They are set aside with the reason and the clause they were read against, and nobody is alerted. For example, a partner's Phase 3 completing enrolment is set aside because that licence pays on regulatory approval, not on enrolment.

Do people stay in control of milestones, notices and accruals?

Yes. The agents propose and never mark a milestone achieved. The alliance director confirms each milestone, licensing counsel signs every notice and consent letter electronically, and BD finance posts accruals — with the controller's approval above $10M. Every match, decision and signature is on the audit trail.

Can it handle co-promotion data under a clean-team arrangement?

Yes. Co-promotion activity is read as aggregate counts only — for example details delivered against a yearly commitment — and net prices, discounts and rebate terms are never shown to the partner team.

How long does it take to go live?

The Agentic Solution Engine builds and deploys it from your requirements and documents — your agreements, amendments and the systems your signals come from — and it goes live once every quality gate has passed. We will walk you through it on your own agreements first.

See it on
